Salary:
$84K - 110K (DOE) - Candidates who have less than 3 years of experience.
$110K - 130K (DOE) - Candidates who have +3 years of experience.

SUMMARY OF JOB FUNCTION
Associate Counsel will assist the General Counsel and Corporate Counsel in the daily operation of legal and compliance matters and various special projects assigned for the company.

ESSENTIAL DUTIES & RESPONSIBILITIES
With some supervision of the General Counsel or Corporate Counsel, the Associate Counsel will:
• oversee work of outside counsel and will be directly involved in complex business transactions;
• serve as legal advisors on all major business transactions and in negotiating critical contracts; and
• judge the merits of major court cases filed against or on behalf of the Companies, work with appropriate executive(s) to define a strategic defense and approve settlements of disputes;
• attend corporate and business meetings, and interview key personnel in various departments as well as outside counsel and consultants to study current legal counseling activities;
• interfaces with various functions of the Companies and with their Group to assure that General Legal Dept. would effectively represent the needs of the Companies and their group;
• develop, implement, and enforce internal standard procedures in seeking legal counseling;
• allocate and manage legal research resources;
• support other legal, compliance, or corporate planning activities as may be necessary; and
• supervise legal assistants and/or paralegals when appropriate.

OTHER RESPONSIBILITIES
 Maintain complete and open lines of communication with other personnel, function, or department to facilitate operations and interaction in the organization.
 Keep supervisor informed of status and progress, ensuring that regular and periodical communication takes place.
 Maintain professional and technical knowledge by attending educational workshops; reviewing professional publications; establishing personal networks and keeping abreast of industry trends and related compliance issues within the area of responsibilities.
 Maintain professional conduct, attendance, and high ethical standards in the work place, complying company’s policies and procedures.
 Fulfil mandatory training requirement applicable for department and job duties as appropriate.
 Perform other duties and responsibilities as required or requested by supervisor or Management.

Qualifications:
- Japanese (Business-level) / English (Business-level)
- 1-3 years of experience at a legal department or a law firm
- Juris Doctor, LL.M or equivalent required
- Bar membership required
